Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the PanelAI mobile application for iOS (“PanelAI” or the “App”), provided by AffSiwen S.À R.L., a société à responsabilité limitée registered in Luxembourg (Registration Number B296879, VAT LU36711579), with registered office at 177 Rue de Luxembourg, 8077 Bertrange, Luxembourg (“AffSiwen”, “we”, “us”, or “our”).

By downloading, installing, or using PanelAI, you (“you” or the “User”) agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not install or use the App.

2. Definitions

• App / PanelAI / Service — the PanelAI mobile application for iOS, including any updates, content, and related features we provide.
• User / you — the natural person who installs and uses the App.
• Device — the iOS device on which the App is installed.
• Apple — Apple Inc., the operator of the Apple App Store (“App Store”).
• Subscription — the auto-renewing in-app purchase that grants access to PanelAI’s paid features.
• Recommendations — the on-device feedback, scores, and textual suggestions PanelAI generates from photos you choose to analyse.

3. Eligibility and Access

(a) Age. PanelAI is intended only for adults aged 18 or older. By using the App, you represent that you meet this requirement.

(b) Sanctions and restricted parties. You represent that you are not a resident of, and are not located in, any country subject to comprehensive trade sanctions by the European Union, the United Kingdom, the United Nations, or the United States, and that you are not on any restricted-party list maintained by these authorities (including the US OFAC SDN List, the EU Consolidated List, the UK HM Treasury Sanctions List, or the UN Consolidated List).

(c) No account creation. PanelAI does not require you to create an account, sign up, or provide login credentials. Access is tied to your iOS Device installation; your Subscription, if any, is managed through your Apple ID via Apple’s In-App Purchase system.

(d) Hardware and software. PanelAI requires a recent-generation iOS Device that supports Apple Intelligence on-device processing. We are not responsible for compatibility issues caused by older hardware, jailbroken devices, or non-standard iOS configurations.

4. The Service

PanelAI analyses photos you choose to feed it and returns Recommendations covering composition, lighting, expression, and styling. All photo analysis happens on your Device using Apple Intelligence — your photos are not transmitted to AffSiwen and we do not have access to them.

Recommendations are provided for informational and entertainment purposes only. They are personal opinions generated by an artificial-intelligence model and do not constitute professional photography, dating-coaching, mental-health, medical, legal, or any other regulated advice. We make no representation or warranty that following any Recommendation will lead to any particular dating outcome, match rate, or social result.

We may update, change, suspend, or discontinue any feature of the App at any time, with or without notice, in our reasonable discretion. We are not obliged to provide ongoing maintenance or support, although we will use commercially reasonable efforts to keep the App functional and to respond to support requests.

5. Acceptable Use and Prohibited Content

You agree not to:

• Upload or analyse photographs of any person other than yourself, or of any minor (anyone under 18), under any circumstances.
• Upload sexually explicit, nude, or gratuitously violent content.
• Upload content that infringes any third party’s intellectual-property, privacy, publicity, or other rights.
• Use the App to harass, defame, or defraud anyone, or to support any unlawful activity, including money laundering or terrorist financing.
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent that such restriction is prohibited by applicable law.
• Probe, scan, or test the security of the App or its underlying infrastructure, or attempt to access non-public areas.
• Interfere with the App’s normal operation, run automated scripts against it, or use it in connection with the development of a competing product.
• Sell, sublicense, lease, lend, or otherwise transfer your right to use the App.

We may suspend or terminate your access if we reasonably believe you have violated this section.

6. Subscriptions, Billing, Auto-Renewal, Cancellation, and Refunds

(a) Provider. Paid features of PanelAI are sold as auto-renewing in-app subscriptions through Apple’s In-App Purchase system. AffSiwen does not process payments directly and does not receive or store your payment-card information.

(b) Pricing and plans. The available Subscription plans, their billing periods (for example, monthly, quarterly, annual), and their prices are displayed clearly in the App at the moment of purchase, in your local currency where Apple supports it. Prices may change; any change will be communicated through the App or by other reasonable means before it takes effect, and will not apply to a billing period already paid for.

(c) Auto-renewal. Each Subscription renews automatically at the end of the then-current period, at the then-applicable price, unless you cancel at least 24 hours before the period ends. Apple charges your payment method within 24 hours of the end of the current period.

(d) Cancellation. You can cancel your Subscription at any time through your Apple ID account: iOS Settings → [your name] → Subscriptions, or through the App Store app. Cancellation takes effect at the end of the current paid period; you keep access to paid features until then. We are not able to cancel Subscriptions on your behalf.

(e) Promotional and win-back pricing. Where we offer a promotional or win-back price, that price applies only to the first paid billing cycle (or as otherwise stated at the moment of purchase). Subsequent renewals will be charged at the standard price disclosed at purchase.

(f) Refunds. If you have any concern about a charge or would like to request a refund, please contact us first at support.panelai@affsiwen.com — we will work with you to resolve the issue. Because all payments for the App are processed by Apple under the Apple Media Services Terms and Conditions, AffSiwen does not directly issue refunds through its own systems; we will, however, do our best to address your situation before any other step is needed.

(g) Statutory rights. Where mandatory consumer-protection law in your country of residence gives you stronger rights (for example, an EU-style right of withdrawal), those rights apply on top of this Section.

7. Intellectual Property

(a) Our IP. PanelAI, including its software, AI models, design, brand, and the textual feedback it generates, is owned by AffSiwen or its licensors and is protected by intellectual-property laws.

(b) Your IP. You retain all rights to the photos and inputs you choose to feed into the App. Because Apple Intelligence processes your inputs on your Device, AffSiwen does not receive a copy of your photos. You grant AffSiwen a limited, non-exclusive, non-transferable, royalty-free licence solely to operate any cloud-side components of the App that may exist (for example, sending an anonymised event when you complete onboarding) — this licence does not extend to your photos, which we do not see or copy.

(c) Recommendations. AffSiwen grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Recommendations the App returns to you for your own personal, non-commercial purposes. You may not resell, redistribute, publish, or build a competing product from the Recommendations.

(d) Feedback to us. If you send us suggestions or ideas for improving the App, you agree we may use them without obligation or compensation.

8. Disclaimers and Limitation of Liability

(a) “As is”. Except where prohibited by law, PanelAI is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation.

(b) No professional advice. Recommendations are not professional advice. You are solely responsible for the photos you choose to use and the decisions you make based on the Service.

(c) Third-party services. We are not responsible for the operation, accuracy, or availability of any third-party service, including Apple’s App Store, Apple Intelligence on-device processing, or any other third-party platforms.

(d) Liability cap. To the maximum extent permitted by applicable law, our total cumulative liability arising out of or relating to these Terms or the App will not exceed the greater of (i) the total fees you have paid to us through Apple in the six (6) months preceding the event giving rise to the liability, or (ii) ten euros (€10).

(e) Excluded damages. To the maximum extent permitted by applicable law, AffSiwen will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity.

(f) Statutory consumer rights. Nothing in this Section limits liability that cannot be limited by law, including liability for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or any consumer-protection rights that cannot be waived.

9. Data Deletion and Termination

(a) Your right to delete. You can delete the data we hold about you at any time:

• through the in-app “Delete My Data” option;
• by emailing support.panelai@affsiwen.com;
• by uninstalling the App, which removes all on-device data.

We will action your deletion request within 30 days. During the first 30 days you may cancel the request and reinstate your records.

(b) Subscriptions. Deleting data does not automatically cancel your Apple-managed Subscription. You must cancel separately through your Apple ID (see Section 6(d)).

(c) Termination by us. We may suspend or terminate your access to the App if you breach these Terms, if continued use is unlawful or unsafe, or if we discontinue the App. Where reasonable, we will give you advance notice.

(d) Survival. Provisions that by their nature should survive termination — including those on intellectual property, disclaimers, liability, governing law, and dispute resolution — will continue to apply.

10. Apple-Specific Terms

You acknowledge and agree that:

(a) Two-party agreement. These Terms are between you and AffSiwen. Apple is not a party. Apple is not responsible for the App or its content.

(b) Maintenance and support. Apple has no obligation to provide any maintenance or support services in connection with the App. Any maintenance and support we provide is governed by these Terms.

(c) Warranty. AffSiwen, not Apple, is solely responsible for any product warranties, whether express or implied by law (to the extent not effectively disclaimed). If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) of the App; to the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever.

(d) Product claims. AffSiwen, not Apple, is responsible for addressing any claims relating to the App or your use of it, including (i) product-liability claims, (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement, and (iii) claims arising under consumer-protection or similar legislation.

(e) Intellectual-property claims. In the event of any third-party claim that the App or your use of it infringes that party’s intellectual-property rights, AffSiwen, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of such claim.

(f) Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a US-Government embargo, or that has been designated by the US Government as a “terrorist supporting” country; and (ii) you are not listed on any US-Government list of prohibited or restricted parties.

(g) Third-party beneficiary. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

11. Changes and General Provisions

(a) Amendments. We may update these Terms from time to time. The “Last Updated” date at the top will change. Material changes will be highlighted in-app before they take effect. Your continued use after the new effective date constitutes acceptance.

(b) Severability. If any provision is held to be invalid or unenforceable, the remaining provisions will continue in full force.

(c) Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and AffSiwen regarding the App.

(d) Assignment. You may not assign these Terms. We may assign or transfer these Terms to an affiliate or to a successor in connection with a corporate transaction.

(e) No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

(f) Notices. We may send you notices by push notification or in-App message. Notices to us must be sent to support.panelai@affsiwen.com.

12. Governing Law, Dispute Resolution, and Contact

(a) Governing law. These Terms are governed by the laws of the Grand Duchy of Luxembourg, without regard to conflict-of-laws rules. If you are a consumer resident in the European Union, you also benefit from the mandatory consumer-protection provisions of the law of your country of residence.

(b) Disputes. We will try to resolve any dispute amicably. If we cannot, the courts of the City of Luxembourg, Luxembourg, will have exclusive jurisdiction, except where mandatory consumer-protection law gives you the right to bring an action in your local courts.

(c) Resolving issues with us directly. If you have any complaint, concern, or dispute about the App, please contact us first at support.panelai@affsiwen.com. We aim to resolve every issue promptly and directly, and we ask that you give us a fair opportunity to do so before pursuing any other route.
